1. Introduction and Acceptance of Terms
Welcome to ManageSpace LLC ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the ManageSpace website located at manage.space and all associated subdomains, including the ManageSpace Newsroom editorial platform, subscriber services, and any related communications (collectively, the "Services").
By accessing or using our Services, creating an account, subscribing to our publications, or opting into communications from ManageSpace or its clients, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or prominent notice on the Services. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.
2. Definitions
"Content" means all editorial articles, analyses, reports, market intelligence, data visualisations, and other written or multimedia materials published through the Services.
"Client" or "Operator" means a property management company, facility operator, or other business entity that uses the ManageSpace platform to manage leasable assets such as self-storage facilities, marinas, coworking spaces, and other property types.
"Subscriber" means any individual or entity that has registered for an account on the Services and opted into receiving editorial content, newsletters, or other communications.
"User," "you," or "your" means any individual who accesses or uses the Services, whether as a Subscriber, a visitor, or in any other capacity.
"Communications" means any email, SMS, text message, push notification, or other electronic message sent by ManageSpace or on behalf of its Clients through the Services or related systems, including messages delivered via third-party messaging platforms such as Twilio.
3. Account Registration and Security
To access certain features of the Services, including subscriber-only content and communications preferences, you may be required to create an account. When creating an account, you agree to:
(a) Provide accurate, current, and complete information during registration;
(b) Maintain and promptly update your account information to keep it accurate and complete;
(c) Maintain the security of your login credentials and not share them with any third party;
(d) Accept responsibility for all activity that occurs under your account;
(e) Notify us immediately of any unauthorised use of your account or any other breach of security.
We reserve the right to suspend or terminate your account at our sole discretion, including for violation of these Terms or for prolonged inactivity.
4. Editorial Content and Intellectual Property
4.1 Ownership
All Content published on the Services is owned by ManageSpace LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. The ManageSpace name, logo, grid mark, and all related marks are trademarks of ManageSpace LLC.
4.2 Permitted Use
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view Content for your personal, non-commercial use. You may share links to Content and quote brief excerpts with proper attribution. You may not:
(a) Reproduce, distribute, or republish Content in whole or in substantial part without prior written permission;
(b) Use Content for commercial purposes, including resale, syndication, or incorporation into commercial products or services;
(c) Remove, alter, or obscure any copyright, trademark, or other proprietary notices;
(d) Use automated systems, including bots, scrapers, or crawlers, to access, download, or index Content beyond what is permitted by our robots.txt file;
(e) Frame, mirror, or create derivative works from the Content without express written consent.
4.3 Editorial Independence
ManageSpace maintains editorial independence. Content reflects the analysis and opinions of its authors and does not constitute endorsement of any product, service, or company mentioned therein, including ManageSpace's own platform products. Content is provided for informational purposes only and should not be construed as professional advice.
5. Subscriber Services and Gated Content
Certain Content may be designated as subscriber-only or gated. Access to gated Content requires a valid Subscriber account. By subscribing, you acknowledge that:
(a) Gated Content is provided for your personal or internal business use and may not be redistributed;
(b) ManageSpace reserves the right to change what Content is freely available versus gated at any time;
(c) Your subscription may be subject to additional terms, including pricing, which will be presented at the time of subscription.
6. Communications and Messaging Consent
This section governs all electronic Communications from ManageSpace, including Communications sent on behalf of our Clients. Please read this section carefully.
6.1 Types of Communications
ManageSpace may send you the following types of Communications:
Editorial Communications: Newsletters, article notifications, editorial digests, breaking news alerts, and other content-related messages from the ManageSpace Newsroom.
Account Communications: Account verification, password resets, security alerts, and other transactional messages necessary for the operation of your account.
Platform Communications: Product announcements, feature updates, service notifications, and other messages related to the ManageSpace platform.
Client Communications: Messages sent by ManageSpace on behalf of our Clients (property operators and facility managers) related to property management operations, including but not limited to: tenant notifications, payment reminders, facility updates, lease communications, access notifications, reservation confirmations, and operational alerts.
6.2 Consent to Receive Communications
By creating an account, subscribing to the Services, providing your contact information (including email address and/or phone number), or engaging with a Client that uses the ManageSpace platform, you expressly consent to receive Communications from ManageSpace and its Clients through the following channels:
(a) Email, to the address you provide during registration or as updated in your account settings;
(b) SMS and text messages, to the phone number you provide, including messages sent via automated systems and third-party messaging services such as Twilio;
(c) Push notifications, if you have enabled them on your device;
(d) In-app notifications within the ManageSpace platform.
Message frequency varies. Editorial Communications are typically sent on a weekly or as-published basis. Client Communications frequency depends on the operational needs of the relevant property operator. Message and data rates may apply. Consult your wireless service provider for details about your messaging plan.
6.3 Client Communications on Behalf of Operators
ManageSpace provides a communications platform that enables property operators (our Clients) to send messages to their tenants, customers, and business contacts. When you interact with a property managed by a ManageSpace Client, the Client may use the ManageSpace platform, including third-party messaging services such as Twilio, to communicate with you regarding:
(a) Rental and lease matters, including payment reminders, lease renewals, and account balances;
(b) Facility operations, including access codes, gate notifications, maintenance schedules, and emergency alerts;
(c) Promotional and informational messages from the operator regarding their facility or services;
(d) Surveys, feedback requests, and service quality assessments.
In these cases, the property operator is the sender of the Communication and ManageSpace acts as the communications platform and service provider. Both ManageSpace and the Client are responsible for ensuring that Communications comply with applicable laws, including the Telephone Consumer Protection Act (TCPA), the Canadian Anti-Spam Legislation (CASL), and other applicable telecommunications and privacy regulations.
6.4 Opt-Out and Communication Preferences
You may opt out of receiving Communications at any time through any of the following methods:
SMS/Text Messages: Reply "STOP" to any text message you receive from ManageSpace or a ManageSpace Client. You will receive a confirmation message and no further text messages will be sent to that number for that message category. You may also text "HELP" for assistance.
Email: Click the unsubscribe link included in every non-transactional email, or update your communication preferences in your account settings.
Account Settings: Log into your account and adjust your communication preferences at any time to control which types of Communications you receive and through which channels.
Direct Request: Contact us at privacy@manage.space with your opt-out request.
Please note that opting out of marketing or editorial Communications does not affect your receipt of transactional or account-related Communications necessary for the operation of your account or any active lease or service relationship with a ManageSpace Client.
6.5 Messaging Service Providers
ManageSpace uses third-party messaging service providers, including Twilio, Inc., to deliver SMS, text messages, and other electronic Communications. By consenting to receive Communications, you acknowledge that your contact information and message content may be processed by these service providers in accordance with their respective privacy policies and terms of service. ManageSpace selects messaging service providers that maintain appropriate security and privacy standards.
7. Third-Party Services and Links
The Services may contain links to third-party websites, services, or content that are not owned or controlled by ManageSpace. We are not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with third-party services are governed solely by the terms and policies of those third parties.
ManageSpace uses various third-party service providers to operate the Services, including authentication providers, email delivery services, messaging platforms, analytics tools, and content delivery networks. Your use of the Services is subject to the terms and privacy policies of these providers to the extent applicable.
8. User Conduct
You agree not to use the Services to:
(a) Violate any applicable law, regulation, or third-party right;
(b) Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
(c) Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
(d) Interfere with or disrupt the Services, servers, or networks connected to the Services;
(e) Attempt to gain unauthorised access to any portion of the Services;
(f) Use the Services to send unsolicited communications, promotions, or advertisements;
(g) Harvest, collect, or store personal data about other users without their consent.
9. Disclaimers
9.1 Editorial Content Disclaimer
All Content is provided for general informational and educational purposes only. Content does not constitute and should not be relied upon as financial, investment, legal, tax, real estate, or other professional advice. ManageSpace does not guarantee the accuracy, completeness, or timeliness of any Content. You should consult with qualified professionals before making any decisions based on Content obtained through the Services.
9.2 No Warranty
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, ManageSpace disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
ManageSpace does not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components. ManageSpace does not warrant the accuracy, reliability, or completeness of any Content or information available through the Services.
9.3 Market Data and Financial Information
Any market data, financial analysis, REIT intelligence, or industry benchmarks presented in Content are based on publicly available information and the analysis of our editorial team. Such information may contain errors, may not reflect the most current data, and should not be the sole basis for any investment or business decision.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall ManageSpace LLC, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of or inability to use the Services.
In no event shall ManageSpace's total aggregate liability for all claims arising out of or relating to these Terms or the Services exceed the greater of (a) the amount you have paid to ManageSpace in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, ManageSpace's liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless ManageSpace LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party right.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts of competent jurisdiction located in the Province of Ontario, Canada.
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@manage.space. If the dispute is not resolved within thirty (30) days, either party may pursue formal remedies.
13. Termination
You may terminate your account and stop using the Services at any time by contacting us or through your account settings. ManageSpace may terminate or suspend your access to the Services at any time, with or without cause, with or without notice.
Upon termination, your right to access the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and ManageSpace LLC regarding the Services and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
14.4 Assignment
ManageSpace may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of ManageSpace.
14.5 Force Majeure
ManageSpace shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including natural disasters, acts of government, pandemic, war, terrorism, labour disputes, telecommunications failures, or internet disruptions.
